Agreement to Terms

By accessing or using Vigilant IQ's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

Vigilant IQ provides educational content and tools for healthcare professionals, including exam preparation materials and Continuing Medical Education (CME) courses. Our services are designed to supplement, not replace, formal medical education.

Educational Purposes Only; No Medical Advice

All content made available through Vigilant IQ, including but not limited to practice questions, explanations, flashcards, clinical scenarios, CME activities, reflections, analytics, and feedback, is provided solely for educational and informational purposes.

The content is not intended to constitute, and does not constitute, medical advice, clinical guidance, or standards of care, and must not be relied upon for the diagnosis, treatment, or management of any patient. Vigilant IQ does not provide medical, legal, or professional advice, and use of the platform does not create a clinician–patient relationship or a supervisory relationship.

Users are solely responsible for their own clinical decisions and must exercise independent professional judgment in all patient care situations. Always consult appropriate clinical resources, institutional protocols, and supervising clinicians when making medical decisions.

Account Registration

To access our services, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years of age

You are responsible for all activities that occur under your account. Accounts are for individual use only and may not be shared, transferred, or resold.

Access Through an Educational Program

If your access is provided through a partnership between Vigilant IQ and your educational program, your use of the platform is governed by these Terms of Service in addition to our agreement with your institution. If there is a conflict between these terms and that agreement on matters between Vigilant IQ and your institution, the institutional agreement controls. Your program administrators may have access to certain performance data as described in our Privacy Policy.

Payment and Access

Some features require a purchase. NCCAA exam preparation is sold as duration-based access (for example, 30, 90, 180, or 365 days), and you may extend your access at any time by purchasing additional time. CME courses are one-time purchases that include course completion and CME credit certification. There are no automatic renewals or recurring charges for any products. By purchasing, you agree to:

• Pay all fees associated with your chosen product
• Provide valid payment information

Refunds

Refund requests are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us with details about your request.

Pass Guarantee

For NCCAA exam preparation, we offer a Pass Guarantee. If you do not pass the NCCAA board exam after meeting the following eligibility requirements, you will receive 6 months of free access:

• Platform Usage: You must have actively used the platform for at least 30 days before your exam date.
• Study Completion: You must have answered at least 200 practice questions and completed at least 1 full mock exam.
• Proof of Exam Result: You must provide official documentation showing you did not pass the NCCAA board exam within 7 days of receiving your results.

To claim the Pass Guarantee, please contact us within 7 days of your exam result with your proof of failure. We will verify your eligibility and grant 6 months of free access to continue your preparation.

Acceptable Use

You agree not to, and not to help anyone else to:

• Share your account credentials or allow anyone else to use your account
• Copy, reproduce, distribute, record, publish, display, transmit, or create derivative works from our content, including questions, explanations, mock exams, and analytics, without our prior written permission
• Use automated tools, bots, crawlers, scrapers, or similar technologies to access, extract, or harvest our content or data
• Use our content or services, or any outputs from them, to train, fine-tune, evaluate, validate, or develop any artificial intelligence model, large language model, machine learning system, or similar technology, without our prior written consent
• Use our services or content to develop, support, or improve a competing product or service
• Reverse engineer, decompile, or disassemble any part of our platform, or attempt to extract its source code, underlying structure, or algorithms, except to the extent this restriction is prohibited by applicable law
• Remove or alter any proprietary notices
• Attempt to gain unauthorized access to our services or related systems, or interfere with or disrupt their integrity, security, or performance
• Upload malware or other harmful code
• Use our services for any unlawful purpose

Violation of this section may result in immediate suspension or termination of your access without refund, and we reserve all other rights and remedies.

Intellectual Property

All content and functionality on Vigilant IQ, including questions, explanations, mock exams, text, graphics, logos, analytics, and software, is our property or the property of our licensors, and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the platform for your personal, non-commercial educational use during your access period. No other rights are granted.

If you provide feedback, suggestions, corrections, or ideas about our services, we may use them to improve the platform without restriction or compensation, though we will not publicly identify you as the source without your permission.

CME Credits

CME credits are awarded upon successful completion of designated activities. You are responsible for verifying that credits meet your licensing requirements. We maintain records as required by accreditation standards.

Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We do not guarantee that our content will meet your specific educational needs or that you will pass any examination.

Limitation of Liability

Vigilant IQ shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you paid for the services.

Termination

We may terminate or suspend your account at any time for violation of these terms. If you wish to delete your account, please contact us.

Changes to Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the new terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved in the state or federal courts located in North Carolina.
